The Corporate Transparency Act (CTA) is a landmark federal law that obligates many small businesses to file information on their beneficial owners with the federal government.  The CTA went into effect January 1, 2024.  The program will discuss the successful launch of the CTA and some of the lessons learned through the first 90 days of reporting.  Many issues under the CTA remain unclear and additional guidance is needed.  Topics will include when a client is the company applicant, the scope of various exemptions to the definition of “reporting company,” the utility of the creditor exception to the definition of “beneficial owner,” when a lawyer is a company applicant, and the emergence of state-level “mini” CTAs.
